PKN ORLEN depositary receipts are listed on the London Stock Exchange. That securities are also traded in the USA on the OTC market (over-the-counter market).
The Bank of New York Mellon is a depositary of the Company’s depositary receipts. The transaction unit on the London Stock Exchange is 1 Global Depositary Receipt (GDR), which is equal to two shares of the Company. Whereas, the transaction unit on the OTC market in the USA is 1 American Depositary Receipt (ADR), which is also equal to two shares of the Company.

Basic information
Depositary receipts, within the meaning of the European regulations and Polish law, are the securities issued on foreign market on the basis of company’s shares listed in the company’s home country. The basic aim of issuing the depositary receipts is to allow foreign institutions to invest in company’s securities, which is headquartered on the territory of foreign country. The rights of depositary receipts holders aren’t significantly different from rights of company’s shareholders – these securities ensure their holders property and corporate rights, the same as shares. These rights are realized via depositary bank – the issuer of depositary receipts, which is the main entity participating in depositary receipts programme.
Depositary receipts programme is also a profitable tool for the company. It gives an access to American market without the need of registration of shares in American Securities and Exchange Commission (SEC). It allows for diversification and extension of company’s shareholders group through obtaining of investors, which aren’t permitted by law to invest in foreign securities or for which open an investment account in Poland is hinder or isn’t included in the corporate policy or practice.
