ORLEN Deutschland has signed the agreement with Shell Deutschland Oil

Polski Koncern Naftowy ORLEN S.A. (“PKN ORLEN”) hereby informs that on 4 June 2010 ORLEN Deutschland GmbH (“ORLEN Deutschland”) signed an agreement with Shell Deutschland Oil GmbH for the sale of fuels to ORLEN Deutschland fuel stations in Germany, for the period 1 January 2010 to 31 December 2010. The total estimated value of the agreement amounts to approximately EUR 800 m, i.e. PLN 3 277 m based on EUR/PLN average exchange rate as of 4 June 2010, stated by National Bank of Poland.

In accordance with the “Regulation of the Minister of Finance, dated 19 February 2009, on current and periodic information to be published by issuers of securities and on the conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state” the agreement signed by ORLEN Deutschland constitutes a “significant agreement” due to the fact that its value within the termination period exceeds 10% of PKN ORLEN’s equity.

PKN ORLEN owns 100% of the registered capital of ORLEN Deutschland.
