New term of office of PKN ORLEN Supervisory Board

Polski Koncern Naftowy ORLEN S.A. ("PKN ORLEN", “Company”) announces that the Ordinary General Meeting of Shareholders on 3 June 2016 appointed members of PKN ORLEN Supervisory Board Members for a new term of office as follows:
- Ms. Angelina Anna Sarota to the position of Chairman of the Company’s Supervisory Board,
- Mr. Mateusz Mariusz Bochacik,
- Mr. Adrian Dworzyński,
- Mr. Artur Gabor,

Ms. Angelina Anna Sarota

Ms. Angelina Sarota was appointed to the Supervisory Board of PKN ORLEN in June, 2008. She held the function of the Secretary of the Company’s Supervisory Board during two subsequent terms. On 27 June 2013 she was appointed as the Chairman of the Supervisory Board of the company for the following term of office.
Ph.D. in law, legal adviser, graduate of the Faculty of Law and Administration of the Jagiellonian University, the National School of Public Administration and postgraduate studies „Strategic Management of Human Resources” at the Kozminski University. In 2015 graduated from the prestigious program of the Advanced Executive MBA Program at the University of Navarra in Barcelona.

Vice President of the Management Board of PGE EJ 1 Sp. z o.o., responsible for legal and regulatory affairs.
From April to May 2014 Minister Counsellor at the Ministry of Treasury in the Ownership Policy Department. From 2005 to 2014 Director of the Legal Department of the Prime Minister’s Office responsible for legal and legislative support, in particular for the Prime Minister, the Head of the Prime Minister’s Office and the General Director. From 2003 – 2005 Deputy Director of the Department of Science Strategy and Development in the Ministry of Scientific Research and Information Technology. From 2001 to 2003, chief specialist in the Court Representation Department  and the Restructuring and State Aid Department in the Ministry of Treasury. Member of the Board of the College of Europe Foundation in Warsaw.

She was a member of the Supervisory Boards i.a. of the following companies: Cerg Spółka z o.o. in Gliwice, Chemar Spółka z o.o. in Kielce, Vice Chairman of the Supervisory Board of Warsaw Technology Park S.A and Vice Chairman of the Supervisory Board of the Polish Security Printing Works S.A. 

Mr. Mateusz Henryk Bochacik

Graduated from the law and history at the Jagiellonian University in Cracow. In 2013 he passed advocate exam and was entered on the list of advocates conducted by the Regional Council of Advocates in Cracow. 

He is an advocate and conducts his own legal office in Cracow specializing in civil, economic and administrative law. During his practice he represented public persons as well as private ones, among others commercial companies, local government units and journalists. In total he was a representative in numerous lawsuits at the common and administrative courts as well as at the Supreme Court. 

He was also an assistant of the Minister-Coordinator of the Special Services and Deputy of the Polish Sejm Zbigniew Wassermann as well as a director of his Deputy office (2007-2010). In years 2010-2013 he was an assistant of Deputy at the European Parliament Paweł Kowal.

Mr. Artur Gabor

Artur Gabor was appointed to the PKN ORLEN Supervisory Board in 2010. On June 27th 2013, he was re-elected to the PKN ORLEN Supervisory Board for the following term of office.

Artur Gabor graduated from the Department of Economics at University College London and from the Faculty of Law at the Warsaw University.

In 2015, he completed the prestigious AMP course at the IESE Business School and a programme for Supervisory Board members “Value Creation Through Effective Boards” at the Harvard Business School/IESE Business School.

As a Partner at Gabor&Gabor, he is responsible for investment and economic advisory services. In 1986–1987 he worked as an assistant at the Institute of Economic Sciences of the Polish Academy of Sciences. In 1987–1990 he was Market Development Department Director at Paged S.A., and between 1990 and 1994 – Partner in Warszawska Grupa Konsultingowa. He held the positions of Managing Director for Poland at Credit Lyonnais Investment Banking Group (1994–1998), Director of Mergers and Acquisitions for Central Europe and Russia at General Electric Capital (1998–2004), and Director of Finance Sector at IBM Poland (2005–2006). In 2003–2004, he was a member of the Management Board of the American Chamber of Commerce, and since 2005 he has been a member of the Chamber’s Standing Advisory Committee. Since 2006, he has been a member of the Corps of Independent Members of Supervisory Boards at the Polish Institute of Directors.

In 2001–2004, he served as Deputy Chairman of the GE Capital Bank S.A. Supervisory Board and member of the GE Bank Mieszkaniowy S.A. Supervisory Board. In 2004–2005 he served as Chairman of the Getin Bank S.A. Supervisory Board and member of the Getin Holding S.A. Supervisory Board. In 2004–2008 he held the position of Deputy Chairman of the Energomontaż Północ S.A. Supervisory Board. In 2006–2007 he was a member of the Polmos Lublin S.A. Supervisory Board, and in 2007–2011 − Deputy Chairman of the Energopol Katowice S.A. Supervisory Board. In 2011–2013 he was a member of the Fleet Holdings S.A. Ms. Agnieszka Krzętowska

PhD degree in economics, academic lecturer. Lecturer at the College of Economics and Social Sciences, The Warsaw University of Technology, Branch in Płock. Competent, responsible, she is an expert in economics and directions of domestic and world economy development. In her professional career she deals with enterprise financials, demography and statistics. Those issues are also included in her numerous publications. She originally comes from Płock.

Mr. Radosław L. Kwaśnicki

Mr. Kwaśnicki holds a PhD degree in legal sciences. He is a legal counsel and Managing Partner of Kancelaria RKKW – KWAŚNICKI, WRÓBEL & Partnerzy, and is specialized in company law, capital market law and court proceedings.

Since 2014, he has performed a function of the Member of the Supervisory Board and since 2016 a function of the Vice-Chairman of the Supervisory Board of PKN ORLEN S.A. (sitting on the Audit Committee, Corporate Governance Committee and CSR Committee). He is a member of the Supervisory Board of Sfinks Polska S.A. (since 2016). Among others, he acted as a President of the Supervisory Board of Agencja Rozwoju Przemysłu S.A. (2007), Deputy President of the Supervisory Board of PGE ZEW-T Dystrybucja Sp. z o.o. (2008 – 2009), Secretary of the Supervisory Board of BOT Elektrownia Turów S.A. (2007 – 2008), Member of the Supervisory Board of PGE Energia S.A. (2008 – 2009), President of the Supervisory Board of Geotermia Pyrzyce Sp. z o.o. (2006 – 2007), President of the Supervisory Board of BBI Capital NFI S.A. He won the first place in the Forbes Professionals Contest 2014 – Public Confidence Profession in the Mazovia province.

Mr. Kwaśnicki was a President of the Court of Appeals at the Regional Chamber of Legal Advisers in Warsaw, and now he is its arbitrator. He also acts as an arbitrator of the Court of Arbitration at the Polish Chamber of Commerce, Court of Arbitration at the Lewiatan Confederation, International Court of Arbitration at the International Chamber of Commerce (ICC) in Paris and Court of Arbitration at the Polish Bank Association.

He took part in legislative and strategic works related to development of commercial law. He is an editor and author, as well as co-author, of several books and comments and more than three hundred publications and statements concerning practical aspects of commercial law. He is a member of the Editorial Board of “Monitor Prawa Handlowego” [“Monitor of Commercial Law”].

Mr. Kwaśnicki lectures on classes dedicated for trainee legal advisers (Warsaw Bar Association) and participates in many conferences and seminars on commercial law. He speaks English and German fluently. He acts as an Editor-in-Chief of the blog on commercial law, called “Business Law – Law in Action”.

Mr. Remigiusz Nowakowski

Graduated from the Wrocław University of Economics, Faculty of Business Management and Computer Science, Enterprise Management as well as from the University of Wrocław, Faculty of Law and Administration, Commercial Law. PhD student at the Wrocław University of Economics, Faculty of Business Management, IT, Finance, Division of Strategy and Management Methods. 

Since December 2015 President of the Management Board of Tauron Polska Energia SA and member of management boards in companies from Tauron capital group. Member of the Management Board of the Polish Electricity Association.

From 2008 to 2015 in FORTUM energy company, holding various managerial positions. Head of Fuels Production Optimisation and Management and the Proxy in Fortum Power and Heat Polska sp. z o.o., the proxy in the capital group companies. In 2008-2012 responsible for development of new investments in building of Fortum heat and power plant in Poland, in particular through management of development process of CHP investment, obtaining of administrative permits, obtaining of energy and gas connections conditions, selecting of contractors of main technological equipment of heat and power plant. From December 2012 till August 2015 he supervised a business function of Fuels Production Optimisation and Management at Heat Fortum Division in Poland, responsible in particular for creating and implementation of fuels supplies strategy for Fortum in Poland, coordination of fuels purchase, electricity and heat production planning and optimization in heat and power plants, analysis of energy market and forecasts of market trends. Since September 2015 Head of Production Optimisation, Heat Electricity Sales and Solutions Division. 

In 2006-2008 Vice-president and President of the Management Board, Development Department Director at TAURON Polska Energia SA as well as CEO at EnergiaPro Koncern Energetyczny SA. Involved in realization of the key restructuring projects in Polish electro-energy sector, ie. consolidation of energy companies from the TAURON group and unbundling process realization as well as setting up of operators dealing with electricity distribution in TAURON group. 

In 2002-2006 CEO and co-owner of consulting company INERCON Sp. z o.o., advising to mergers and acquisitions in energy and utilities sector in Poland. 

Mr Remigiusz Nowakowski has extensive experience in the area of preparation and development of investment projects, design and implementation of public-private partnership models as well as creation and realization of development strategy in energy and heat sectors in Poland, including, in particular, strategic management in the areas of investments and fuels management in energy companies.

Mr. Wiesław Tomasz Protasewicz

Graduate of the Main School of Planning and Statistics in Warsaw (currently the Warsaw School of Economics – SGH), Faculty of Production Economics. He completed postgraduate studies in accounting at Koźminski University in Warsaw. He is a holder of the competence certificate issued by the Ministry of Finances that entitles to bookkeeping management.
During 1982-1990 he worked in Mostostal Siedlce where he was responsible for production planning and later export. In 1990-1994 he worked in Province Office in Siedlce as a Director of the Economic Development Department and as a Province Governor of Siedlce since 1993.
In 1994 he began his work in Warsaw in commercial companies as an Economy and Finance Director.
In 1998 he was appointed to the Management Board of PKP and later PKP S.A. where he held the position of Vice-President responsible, i.a., for economic and financial area.
Since 2003 he was a Member of the Board of Miejskie Zakłady Autobusowe Sp. z o.o. in Warsaw where he supervised the economic and financial branch, marketing and implementation of IT solutions.
At the end of 2007, he became a Vice-President of the Management Board of Polskie Sieci Elektoenergetyczne “Operator” S.A. in Warsaw.
In 1992-2009 he participated in Supervisory Board works of numerous commercial companies, i.a. Hydrobudowa-6 S.A. in Warsaw, WARS S.A. in Warsaw, PKP Przewozy Regionalne Sp. z o.o. in Warsaw, PSE „Centrum” S.A. in Warsaw. In most companies, he was the Chairman of their Supervisory Boards.

Ms. Angelina Anna Sarota, Mr. Artur Gabor, Mr. Radosław Leszek Kwaśnicki and Mr. Remigiusz Nowakowski declared in the submitted statements that they are members of the supervisory boards and management boards of companies which business activity could be recognized as competitive with PKN ORLEN activity.

The other appointed today members of the Supervisory Board submitted statements that they are not involved in any activity competitive with PKN ORLEN and are not partners of any competitive company. They are not members of any board of a competitive capital company.

All elected members of the Supervisory Board are not on the list of insolvent debtors kept on record on the National Court Register Act.
