Termination of GDR Deposit Agreement and cancellation of listing of GDRs

Polski Koncern Naftowy ORLEN S.A. (the “Company”) announces that the deposit agreement dated 26 November 1999 (with subsequent amendments) constituting the Company’s global depositary receipts (“GDRs”) concluded with The Bank of New York Mellon headquartered in New York City, USA (the “Depositary Bank”) (“Deposit Agreement”) has been terminated, as of the end of the day in New York City, USA on 27 February 2013. The termination of the Deposit Agreement resulted from the notice of termination of the Deposit Agreement sent by the Company to the Depositary Bank on 29 November 2012 and expiration of the 90-day notice period from the date of delivery of the above mentioned notice, as stipulated in the Deposit Agreement.

According to the terms of the Deposit Agreement, the Depositary Bank shall, as soon as possible after the termination of the Deposit Agreement, sell the Company’s shares held by the Depositary Bank and related to outstanding GDRs. The Depositary Bank shall deliver cash from such sale to holders of these GDRs, proportionally to the number of shares represented by GDRs held by them.

In connection with the termination of the Deposit Agreement the listing of the GDRs on the Official List of the London Stock Exchange was cancelled and the GDRs were removed from trading on the London Stock Exchange plc Main Market for listed securities as of 27 February 2013.
