General Shareholders' Meeting of PKN ORLEN SA

The main topics of today’s General Shareholders' Meeting of PKN ORLEN consist of the approval of reports on the activity of the Company and the Capital Group as well as the appointment of the Supervisory Board for a new term of office.

The Shareholders approved the reports of the Management Board on the activity of the Company and the Capital Group as well as the component financial statements and the consolidated financial statements for the year 2009. The Shareholders, furthermore, agreed to book the entire profit of nearly 1.64 bn PLN to the Company’s reserve capital. The General Shareholders' Meeting also exonerated all the Members of the Management Board and Supervisory Board of PKN ORLEN who performed their respective functions in 2009.
Moreover, the Shareholders granted their consent to dispose of or lease an organized part of the business consisting of 10 petrol stations.

In light of the end of the term of office of the current Supervisory Board, the General Shareholders' Meeting appointed the Supervisory Board comprised of the below listed persons for a new three-year term of office:

In accordance with presented statements, the independence criteria are met by five members of the Supervisory Board of the present tenure.

Ms. Angelina Sarota, Mr. Maciej Mataczynski, Mr. Grzegorz Borowiec, Mr. Marek Karabula, Mr. Krzysztof Kolach, Mr. Piotr Wielowieyski and Mr. Janusz Zielinski were previous Members of the PKN ORLEN Supervisory Board.
