Poland’s first proxy voting on-line of the public listed company

At the forthcoming AGM conveyed for 27th June 2006 PKN ORLEN will offer its shareholders a proxy voting on-line tool which will enable active and live participation in the AGM via internet. PKN ORLEN is the first Polish public company to attract more investors with a user-friendly, remote proxy voting facility.

Following its declarations of broad transparency PKN ORLEN is continuously enlarging range of possibilities to access corporate information. In January 2006 PKN ORLEN for the first time in its history carried out a live broadcast from the EGM in Plock (Poland). The meeting was followed by 1,515 web users including observers from the UK, Czech Republic, Denmark, Germany, France, Luxembourg and USA.

Great webcast coverage and awareness of reasons that prevent investors from participating have inspired and prompted PKN ORLEN to look for solutions that would allow shareholders actively participate in the general meetings.

Relying on new technologies and benefits of the world wide web on 27th June 2006 PKN ORLEN as the first Polish public listed company will enable its shareholders to participate in AGM also via a proxy voting on-line webcast. The facility will be available both in the Polish and English languages. The Company addresses new facility to those who, for different reasons, cannot arrive at the AGM held in Plock (Poland).

With the proxy voting on-line tool PKN ORLEN wishes attract all investors including these with smaller number of shares and prompt them to shape the Company.

Access to the AGM via the web
The proxy voting on-line shall be available to those shareholders who will send their depositary certificates to PKN ORLEN and register to the meeting. In addition, they will have to give power of attorney to the Lawyer Office appointed by PKN ORLEN. After that each shareholder will obtain an individual login and password to the proxy voting on-line facility that will connect his computer with the one operated at AGM by the power of attorney. The facility operates in a secure protocol.

For technical and organizational reasons proxy voting on-line facility will be available only for these shareholders who will notify PKN ORLEN of their wish to use it at least 7 calendar days before AGM.

Details of the password distribution shall be soon made available to the shareholders who will declare in favour of he proxy voting on-line. All the necessary information will also be published on www.orlen.pl
