Today the Annual General Meeting of PKN ORLEN approved the Directors’ Reports on the Company’s and the Group’s operations in 2015 as well as the separate and consolidated financial statements for 2015. The shareholders also endorsed the Management Board’s recommendation concerning dividend payment and appointed the Supervisory Board for a new term of office.

The General Meeting decided to grant full discharge to all members of the Management Board and Supervisory Board of PKN ORLEN for the performance of their duties. Furthermore, the shareholders approved the Directors’ Reports on the Company’s and the Group’s operations in 2015 as well as the financial statements for 2015. The General Meeting then passed a resolution on allocation of profit for 2015, whereby more than PLN 855.4m will be paid out in dividend, as proposed by the Management Board. The dividend amount is PLN 2 per share, an improvement on the 2015 figure of PLN 1.65 per share. The dividend record date was set for July 15th and the payment date is August 5th 2016.

The General Meeting decided that the Supervisory Board would be composed of nine members. In the new term of office, the Supervisory Board would consist of:

Wiesław Tomasz Protasewicz - Graduate of the Faculty of Production Economics at the Central School of Planning and Statistics in Warsaw (currently the Warsaw School of Economics). Completed post-graduate studies in accounting at the Kozminski University in Warsaw. Qualified provider of commercial bookkeeping services, based on a certificate issued by the Minister of Finance. In 1982−1990, he was employed at Mostostal Siedlce, where he was involved in production planning and then exports. In 1990−1994, he worked at the Siedlce Provincial Authority as head of the Economic Development Department, and from 1993 was the Siedlce Province Governor. In 1994, he started working for commercial companies in Warsaw as Chief Financial Officer.

In 1998, he was appointed to the Management Board of PKP and then of PKP S.A.; he held the position of Vice-President of the Management Board responsible for economics and finance. Since 2003, he has been a member of the Management Board of Miejskie Zakłady Autobusowe Sp. z o.o. in Warsaw, where he was in charge of the Economics and Finance Department, marketing and implementation of IT projects. Toward the end of 2007, he was appointed Vice-President of the Management Board of Polskie Sieci Elektroenergetyczne Operator S.A. in Warsaw.

In 1992−2009, he served on the Supervisory Boards of many commercial companies, including Hydrobudowa-6 S.A. of Warsaw, WARS S.A. of Warsaw, PKP Przewozy Regionalne Sp. z o.o. of Warsaw, and PSE Centrum S.A. of Warsaw, mostly in the capacity of Chairman. ​
