Share purchase agreement for 100% of shares in Nowotna Farma Wiatrowa Sp. z o.o.

PKN ORLEN S.A. (“PKN ORLEN”, “Company”) informs that on 26 February 2021 Orlen Wind 3 Sp. z o.o. („Orlen Wind 3”) has signed with investment funds: Taiga Inversiones Eolicas SCR SA and Santander Energias Renovables SCRA SA, headquartered in Madrid, Spain, a share purchase agreement for 100% of shares in Nowotna Farma Wiatrowa Sp. z o.o., owner of the onshore wind farms Kobylnica, Subkowy, Nowotna (“Agreement”). The total power of wind farms that are to be purchased amounts to 89,4 MW. The value of the Agreement amounts to ca. PLN 380 m. The Agreement has been signed under the condition that the approval of relevant antitrust authorities will be obtained.
