Summary of PKN ORLEN Series A Eurobonds issue

PKN ORLEN S.A. ("PKN ORLEN") hereby announces that on 27 May 2021 the Company  completed the issue of 5,000 series A eurobonds (the “Eurobonds”) with the total nominal value of EUR 500,000,000, issued under the euro medium term note programme up to the amount of EUR 5,000,000,000 (the “EMTN Programme”), established on 13 May 2021.

The subscriptions for the 5,000 Eurobonds were conducted on 20 May 2021. The offer was not divided into tranches. The allocation of the Eurobonds was made on 20 May 2021.

During the subscription period, 234 investors indicated their interest for the Eurobonds. The final orderbook amounted to almost EUR 3.0bn, implying close to 6x oversubscription for Eurobonds. PKN ORLEN allocated the 5,000 Eurobonds to 182 investors from 26 countries.

The Eurobonds were acquired at the issue price of EUR 99,426 each.

BNP Paribas, ING Bank N.V., Bank Pekao S.A. and UniCredit Bank AG participated in the transaction as Joint Global Coordinators and Joint Bookrunners. CaixaBank S.A. and SMBC Nikko Capital Markets Europe GmbH were Joint Bookrunners.

The value of the issue, defined as the number of Eurobonds which were offered multiplied by the issue price, amounted to EUR 497,130,000.

Due to the lack of final settlement of the issue costs until the day of this report, PKN ORLEN will prepare and publish a regulatory announcement indicating the issue costs, including the costs by type, after receiving and accepting all invoices from the entities involved in preparing and conducting the offer, no later, however, than within the time required to publish a regulatory announcement with this information.

PKN ORLEN’s costs related to the Eurobonds offer will be charged to PKN ORLEN’s operating costs.
