PKN ORLEN implements remedies in accordance with the EC Decision

PKN ORLEN has signed an agreement to sell 100% of shares in LOTOS Biopaliwa to Rossi Biofuel as part of implementation of the remedies approved by the European Commission in connection with the closed acquisition of Grupa LOTOS. Work is also underway to finalise agreements with other partners. PKN ORLEN is in the process of building a strong multi-utility group that will be the leader of energy transition in Poland and in the region and will ensure stable supplies of energy for the economy and customers.

ORLEN - LOTOS merger completed

The ORLEN Group has finalised its merger with Grupa LOTOS, strengthening its leading role in the fuel and energy industry in Central and Eastern Europe. The final step in the process that has been successfully completed was registration of the merger by the District Court of Łódź. The merger paves the way for unlocking synergies inherent in leveraging the potential of the two companies.

PKN ORLEN closing its merger with LOTOS Group

PKN ORLEN has secured the European Commission’s clearance of its intended merger with the LOTOS Group. Closing an important phase of the merger process, the antitrust clearance marks a leap forward in building a strong multi-utility group that will effectively carry out the energy transition and ensure Poland’s energy security and independence in terms of feedstock supplies.

PKN ORLEN and Grupa LOTOS have just agreed and signed a merger plan involving transfer of the LOTOS assets to PKN ORLEN. In exchange for shares held in Grupa LOTOS, its existing shareholders will receive shares in the enlarged PKN ORLEN.

Microsoft teams up with ORLEN Skylight accelerator as its technology partner

PKN ORLEN has signed an agreement marking the beginning of a collaboration between the ORLEN Skylight accelerator and Microsoft Founders Hub 101. The alliance will enable startups participating in the accelerator programme run by PKN ORLEN to receive free access to numerous Microsoft tools and resources, including Microsoft Cloud and GitHub. The collaboration also includes support from Microsoft experts and specialists.

ORLEN Group invests in hydrogen

PKN ORLEN will spend PLN 7.4bn by 2030 on low- and zero-carbon hydrogen development projects based on renewable energy sources and municipal waste conversion technology. The ORLEN Group Hydrogen Strategy will be implemented in four key areas: mobility, refining and petrochemicals, research and development, and industry and energy. As a result, ten hydrogen hubs will be developed by the end of the decade, with motorists in Poland, the Czech Republic and Slovakia provided with access to a network of over 100 hydrogen refuelling stations. The projects will support the ORLEN Group’s transformation into a carbon-neutral multi-utility group.

PKN ORLEN’s record performance in 2021

In 2021, PKN ORLEN posted a net profit of PLN 10.2 billion and LIFO-based EBITDA of PLN 14.2 billion. The main contributor to the record results was the petrochemical segment, followed by power generation and refining operations. Polish retail segment accounted only for 13% of the Group’s profit. Despite a marked decline in fuel margins in the Polish market, sales revenue amounted to PLN 131.6 billion...

PKN ORLEN has selected four partners through whom it will implement the remedies negotiated with the European Commission as a condition for clearance of its intended acquisition of the LOTOS Group. It has thus achieved a key milestone in building a multi-utility group with a strong financial footing, ensuring energy security for Poland, as well as stable and attractive energy prices for customers. Saudi Arabian Oil Company (Saudi Aramco), the world’s largest integrated energy and chemicals company, has become a partner for the refining and wholesale assets and for aviation fuels. Saudi Aramco’s presence in the European refining and petrochemical sector, as well as increased oil imports to Poland, will be perfectly in line with PKN ORLEN’s efforts to diversify crude oil supplies...
