New term of office of the Management Board
The first meeting of the PKN ORLEN Supervisory Board following the Ordinary Shareholders’ Meeting was held on June the 30th, 2005.
On the day of the Ordinary Shareholders’ Meeting, on June 29th 2005, the Management Board’s 3-year term of office expired. Consequently the mandates of all Board members also expired. The term of office of the Management Board that had been performing up to the present time began in 2002 and, according to the Company’s Statute, lasted for 3 years. Due to the facts listed above at the Supervisory Board Meeting on June 30th, 2005, the Management Board has now been appointed for a new 3-year term of office.
The Supervisory Board has appointed Mr Igor Chalupec to the position of President and CEO. On Mr. Igor Chalupec’s motion the following candidatures have been also appointed to the position of Vice-President: Mr. Wojciech Heydel, Mr. Jan Maciejewicz, and Mr. Cezary Smorszczewski. Mr. Paweł Szymański has also been appointed as Board member.
The contract conditions of the Management Board members has not changed.
Mr. Janusz Wiśniewski, a previous Vice-President of the Board, has not been appointed for another term of office. He supervised the areas of Production, Logistics and Wholesale. The person now responsible for Production and Logistics will be Deputy CEO Mr. Czesław Bugaj. The Wholesale area will be supervised by Mr. Wojciech Heydel, Vice-President and Head of Retail and Wholesale operations. The Treasury Minister also has the prerogative to appoint one Board Member of the company.
