EGM of PKN ORLEN completed
The reduction to 7 persons, and the appointment of 4 new members (including a new Chairman) of the Supervisory Board constitute the principal decisions of today’s EGM of PKN ORLEN. Shareholders also approved the report of the Management Board on restructuring conducted within the Company and the disposal of entities that have been spun-off.
The EGM adopted, through its resolution, the Management Board’s report on the restructuring process across the Company (including establishing of the administration entity) and progress on disposal of the companies spun-off from PKN ORLEN. At the same time, the EGM recommended that the Supervisory Board should monitor the implementation of the Comprehensive restructuring plan for 2006 and present to the General Meeting quarterly information on the plan’s implementation progress.
Following the motion of the State Treasury, shareholders dismissed from the Supervisory Board: Ms Malgorzata Okonska-Zareba, Mr Jacek Bartkiewicz (as a result of the binding sentence of the Appeal Court in Warsaw stating the invalidity of the resolution as of 5 August 2004 regarding the appointment of Mr J. Bartkiewicz to the Supervisory Board, and uncertainty regarding his position as a Chairman of the Supervisory Board), Mr Ireneusz Wesolowski, Mr Maciej Gierej, Mr Adam Sek and Mr Krzysztof Obloj.
The subsequent resolutions reduced the composition of the Supervisory Board from 9 to 7 persons, including 3 independents. The EGM completed the Supervisory Board with persons proposed by the State Treasury. The EGM appointed Mr Dariusz Dabski to the position of Chairman and Mr Maciej Mataczynski, Mr Wojciech Pawlak, Mr Zbigniew Macioszek to the position of Members of the Supervisory Board.

Dariusz Dabski – graduated with an M.B.A. (USA studies) and from the Academy of Physical Education in Warsaw. An experienced manager of both Polish and foreign technology companies Mr. Dabski has held the positions of, amongst others, Chief Executive Officer of Fujitsu Siemens Computers Poland, TDC Internet and Optimus S.A.
Maciej Mataczynski – law science doctor, legal adviser. Graduated from Adam Mickiewicz University and T.M.C Assera Institute in Hague. Holding a scholarship of the Fulbright Commission at the Harvard Law School and a specialist in commercial and European law. Mr. Mataczyński has worked at a leading Polish law office. Mr Mataczynski is also an author of many law publications in Poland and abroad.
Wojciech Pawlak – graduated from the Warsaw School of Economics, Warsaw University and the New School for Social Research in New York. An experienced manager, expert in market and social researches, Mr. Pawlak has held top manager positions in the biggest Polish media companies and is an experienced member of supervisory bodies of capital companies.
Zbigniew Macioszek – graduated from Warsaw University and from Baruch College of The City University of New York with a B.B.A. in finance and investment. Great experience in working at international investment companies, a member of many training programmes, including the Vienna Joint Institue and Chase Manhatan Bank.
