Changes in the Supervisory Board of PKN ORLEN
Today’s Extraordinary General Assembly of PKN ORLEN SA appointed new members to the Supervisory Board: Mr. Robert Czapla, Mr. Konstanty Brochwicz - Donimirski Mr. Krzysztof Rajczewski. The new members have been recommended by the State Treasury. The new President of the Board is Mr. Zbigniew Macioszek.
President of the Board Igor Chalupec reported the status and progress of the Mazeikiu Nafta AB acquisition process, paying special attention to preparations to close the transaction and integrate the Lithuanian refinery with PKN ORLEN. President Chalupec emphasized that extended verification of asset valuation is currently in progress. Additionally PKN ORLEN is preparing to announce a call on the remaining shares traded on the stock exchange in Vilnius. PKN ORLEN is obligated to announce the call upon acquisition of 40% of shares in MN that will follow the closing of the deal with Yukos International UK B.V.
The Board also presented information on the progress of the restructuring plan after three quarters of 2006. The key changes implemented over nine months of 2006 involved the following areas: accounting, prevention, railway dispatch, environmental studies, logistics support and procurement. The restructuring has resulted in the establishment of two new entities within the Capital Group: ORLEN Accounting and ORLEN Prevention. The functions of the Railway Shipment Department and its employees have been moved to the existing ORLEN KolTrans company.
The main point of the assembly were changes in the composition of the Supervisory Board. The Shareholders voted a new 9-man composition of the Supervisor Board. The Extraordinary General Assembly approved the candidates recommended by the State Treasury – Mr. Robert Czapla, Mr. Konstanty Brochwicz-Donimirski and Mr. Krzysztof Rajczewski. The new President of the Supervisor Board is former board member Mr. Zbigniew Macioszek.
Robert Czapla
Graduate of the University of Warsaw Department of Economics and postgraduate courses in Finance and Accounting at the University of Białystok. He is currently a registered doctoral candidate in the Polish Academy of Sciences.

1999 – 2003 Deputy Director of the State Vehicle Transportation Enterprise in Łomża,
2003 - today Director General of the Warsaw Board of Municipal Transportation.
2004 - today Deputy President of the Supervisory Board of the Municipal Taxi Corporation Ltd in Warsaw.
Konstanty Brochwicz – Donimirski
Graduate of the Warsaw University of Technology, Department of Electronics with M.A. in Engineering, MBA graduate of New York University, INSEAD. Speaks fluent English and French. Holds the required authorizations to sit in supervisory boards.
