Dividend
On 28 February 2023 ORLEN announced a new dividend policy. According to the new approach ORLEN will pay annually the dividend equal to 40% of adjusted free cash flow (ie. cash flows from operating activities minus cash flows from investing activities) generated by ORLEN Capital Group in the previous year. However, the level of dividend will be not less than the base dividend (guaranteed), the level of which has been set for PLN 4,00 per share for 2022 and will grow annually by PLN 0,15 per share till the level of PLN 5,20 per share in 2030. It means that the base dividend (guaranteed) will increase by 49% within a decade.
* The Management Board decided within the Strategy update to preliminarily recommend a payout of dividend from the profit of 2022, at the level of PLN 5,50 per share.

Basic information
Dividend
It is a part of net profit generated by the company for the certain financial year, which is shared among its shareholders. The level of the dividend, date of dividend right and date of dividend payment are determined by shareholders at the company’s ordinary general meeting of shareholders.
Management Board proposition regarding distribution of net profit or cover the loss is always included in ORLEN full year financial statement.
The Management Board presents its proposal to ORLEN shareholders at the Annual General Meeting, which makes the final decision in this issue.
Date of dividend right
The date on which a list of shareholders entitled to dividend for the certain financial year is established. Only these shareholders who hold company’s shares on that day have a right to receive the dividend for the certain financial year.
Date of dividend payment
The date when the dividend is transferred to company’s shareholders accounts.
