Summary of the public offering Eurobonds and their admission to trading on the regulated market operated by Euronext Dublin

ORLEN S.A. ("ORLEN") hereby announces that on 13 July 2023 5,000 series B eurobonds (the “Eurobonds”) with the total nominal value of EUR 500,000,000, issued under the euro medium term note programme up to the amount of EUR 5,000,000,000 (the “EMTN Programme”) were admitted to trading on the regulated market operated by Euronext Dublin.

The subscriptions for the 5,000 offered Eurobonds were conducted on 6 July 2023. The offer was not divided into tranches. The allocation of the Eurobonds was made on 6 July 2023.

During the subscription period, ca. 90 investors indicated their interest for the Eurobonds. The final orderbook amounted to more than EUR 800,000,000, implying 1.8 oversubscription for Eurobonds. ORLEN allocated the 5,000 Eurobonds to 78 investors from 19 countries.

The Eurobonds were acquired at the issue price of EUR 98,353 each.

Banco Santander S.A., Bank Pekao S.A., BNP Paribas, Citigroup Global Markets Europe AG, Erste Group Bank AG, ING Bank N.V., J.P Morgan SE, SMBC Bank EU AG and Société Générale participated in the transaction as the Joint Bookrunners.

The value of the issue, defined as the number of Eurobonds which were offered multiplied by the issue price, amounted to EUR 491,765,000.

Due to the lack of final settlement of the issue costs until the day of this report, ORLEN will prepare and publish a regulatory announcement indicating the issue costs, including the costs by type, after receiving and accepting all invoices from the entities involved in preparing and conducting the offer, no later, however, than within the time required to publish a regulatory announcement with this information.

ORLEN’s costs related to the Eurobonds offer will be charged to ORLEN’s operating costs.

The Eurobonds were paid by wire transfer to the Company's account.
