PGNiG: Submission of a joint initial offer for EDF assets in Poland

The Management Board of PGNiG S.A. (“PGNiG”) discloses that on September 16th 2016 PGNiG TERMIKA S.A. together with Enea S.A., Energa S.A. and PGE S.A. (the “Business Partners”) jointly submitted to EDF International SAS (“EDF”) an initial, non-binding offer for purchase of EDF assets and shares in companies owned by EDF in Poland, holding conventional assets and active in operating services area.
The subject-matter of the offer are the assets, especially:
- Rybnik power plant;
- Kraków CHP, Gdańsk CHP, Gdynia CHP, Toruń CHP and district heating network in Toruń;
- Wrocław CHP and heating network in Wrocław’s agglomeration, CHP Zielona Góra and district heating network in Zielona Góra (belonging to Zespół Elektrociepłowni Wrocławskich Kogeneracja S.A. and it’s subsidiary - Elektrociepłownia Zielona Góra S.A.);
- investment in gas-fired unit in Toruń (within EDF Gaz Toruń sp. z o.o.).
The basis for the decision about further steps in the transaction, including submitting of the potential binding offer after obtaining the required corporate approvals, will be detailed due-diligence conducted jointly with Business Partners.
