Announcement

The Supervisory Board of ORLEN S.A. announces that on September 22nd, 2025, after reviewing applications and conducting interviews with selected candidates, has decided to conclude the competition for two positions on the Company's Management Board and unanimously appointed:

- Mr Sławomir Jędrzejczyk, with effect on the start of the day of 24 September 2025, for the position of Vice-President of the Management Board, Financials,

- Mr Sławomir Staszak, with effect on the start of the day of 29 September 2025, for the position of Member of the Management Board, Energy and Energy Transition.

Simultaneously, the Supervisory Board decided to conclude the competition for the position of Member of the Management Board for Legal Affairs and Compliance without a decision and not to fill this position on the Company's Management Board (and thus to leave this area within the current division of responsibilities).

The Supervisory Board emphasizes that the majority of candidates demonstrated a very high level of merit and managerial competence, and therefore, after obtaining the consent of the interested candidates who have not been selected, the Supervisory Board will recommend that the Company's Management Board analyze the applications with a view to establishing potential cooperation with some of these candidates within the Capital Group.

BALTIC POWER

The largest green energy project in Central Europe

Baltic Power, a joint venture od ORLEN and Northland Power has reached the most advanced develompent phase among all offshore wind projects in Poland and the only one to obtain FID. At the moment its onshore infrastructure and key packages are being constructed, while the offshore installation started in February 2025. 76 turbines of 15 MW capacity will be able to cover approx. 3% of Poland’s electricity demand, which stands for the daily needs of 1,5 M households.
