PGNiG: The PGNiG Group withdraws from purchase of EDF assets in Poland

Further to Current Report No. 7/2017 of January 27th 2017 concerning the commencement of negotiations between Polskie Górnictwo Naftowe i Gazownictwo S.A. (“PGNiG”), together with ENEA S.A., ENERGA S.A. and PGE Polska Grupa Energetyczna S.A. (the “Business Partners”) on the one hand, and EDF International SAS and EDF Investment II B.V. (jointly “EDF”) on the other hand, concerning the purchase of EDF’s assets in Poland (the “Transaction”), the Management Board of PGNiG announces that on March 15th 2017 PGNiG TERMIKA S.A. submitted a notice of withdrawal from the Transaction, as a result of which the Transaction structure will change.
The changes in the Transaction structure require the confirmation of lack of EDF’s objection. The Management Board of PGNiG further announces that PGNiG TERMIKA S.A., together with the Business Partners, has notified EDF about the changes.
