Under agreements signed with 9 subsidiaries following companies will be created.

Pursuant to § 4, par 1, item 1 and §6 of the Council of Ministers Decree dated 22 December 1998 concerning the nature, form and scope of current and periodical information as well as time when such information is bound to be forwarded by issuer admitted to public trading (Official Journal No 163, item 1160 as amended) the Management Board of Polski Koncern Naftowy ORLEN S.A. wishes to inform that according to plans of the restructuring process in PKN Orlen S.A. under agreements (notarial acts) signed with 9 subsidiaries on 10-16 May 2000 following companies will be created:

1. PKN Transport Szczecin sp. z o.o., headquarters in Szczecin - founding assembly on 10.05.2000.
2. PKN Transport Lublin sp. z o.o., headquarters in Lublin - founding assembly on 10.05.2000.
3. PKN Transport Slupsk sp. z o.o., headquarters in Slupsk - founding assembly on 11.05.2000.
4. PKN Transport Krakow sp. z o.o., headquarters in Krakow - founding assembly on 11.05.2000.
5. PKN Transport Olsztyn sp. z o.o., headquarters in Olsztyn - founding assembly on 12.05.2000.
6. PKN Transport Kedzierzyn-Kozle sp. z o.o., headquarters in Kedzierzyn-Kozle - founding assembly on 12.05.2000.
7. PKN Transport Nowa Sol sp. z o.o., headquarters in Nowa Sol - founding assembly on 15.05.2000.
8. PKN Transport Poznan sp. z o.o., headquarters in Poznan - founding assembly on 15.05.2000.
9. PKN Transport Warszawa sp. z o.o., headquarters in Mosciska - founding assembly on 16.05.2000.

Aggregate capital value of the nine new companies equals PLN 63 142 100 and will be covered by finance and asset contribution-in-kinds. According to the accepted employment scheme in new companies the newly established companies will employ 1 265 persons.
