A resolution to adjourn the proceedings of the EGMs

Polski Koncern Naftowy ORLEN S.A., Central Europe's largest downstream oil company announces today that on December 19, 2000 the Management Board of PKN ORLEN S.A. learnt that the Extraordinary General Assembly of Shareholders of PKN ORLEN S.A. that opened on December 15, 2000 and continued on December 19, 2000 passed a resolution to adjourn the proceedings of the Extraordinary General Assembly of Shareholders of PKN ORLEN S.A. until 4 pm. on January 10, 2001. This motion was proposed by the representative of the National Treasury. The above is due to ongoing discussions between the shareholders on the best composition to reflect shareholders structure in the the Supervisory Board of PKN ORLEN S.A.
