Restructuring of ORLEN gas companies

Polski Koncern Naftowy ORLEN S.A. (PKN ORLEN), Central Europe's largest downstream oil company, hereby announces that on April 9, 2001 its gas distribution subsidiary, ORLEN Petrogaz Plock Sp. z o.o ("ORLEN Petrogaz Plock"), purchased a 49% stake in another gas distribution company, Petrogaz Inowroclaw Sp. z o.o. ("Petrogaz Inowroclaw") for PLN 1,899,975.

The 3,675 shares in Petrogaz Inowroclaw were purchased from Inowroclawskie Kopalnie Soli SOLINO ("IKS SOLINO"), the salt mining company. The transaction was finalised from ORLEN Petrogaz Plock's current assets. The value of the purchased stake filed in IKS SOLINO's books equals PLN 1,837,500. PKN ORLEN currently owns 70.54% of shares in IKS SOLINO, 51% in Petrogaz Inowroclaw and 100% in ORLEN Petrogaz Plock.

There are no connections between managing and supervising bodies of PKN ORLEN and ORLEN Petrogaz Plock and IKS SOLINO. This transaction marks another step in the process of restructuring of gas companies in the Capital Group of PKN ORLEN as announced on February 2, 2001 and is to be viewed as a long-term investment.
