Initial capital increase in CPN Service Rzeszow

Change in the initial capital in CPN Serwis Rzeszow Sp. z o.o.

Polski Koncern Naftowy ORLEN S.A. (“PKN ORLEN”), Central Europe’s largest downstream oil company, today announces that it has been notified of the registration of a change in the initial capital in CPN Serwis Rzeszow Sp. z o.o. (”CPN Serwis Rzeszów”). The registration took place on 20 February 2002 in Sad Rejonowy w Rzeszowie.

The initial capital was first increased by PLN 100 from PLN 250,900 to PLN 251,000 and then, after a change of one share nominal value from PLN 100 to PLN 500, it was again increased by PLN 96,000 (ninety six thousand), from PLN 251,000 to PLN 347,000. The capital was increased through a cash injection from PKN ORLEN the main shareholder The initial capital of PLN 347,000 consists of 694 shares with a nominal value of PLN 500 each. All of these shares are voting shares.

PKN ORLEN owns 97.36 per cent of the total shares. The employees of the company hold the remainder.
