Changes in the PKN ORLEN Supervisory Board

Polski Koncern Naftowy ORLEN S.A. ("PKN ORLEN"), Central Europe’s largest downstream oil company today announced that the Extraordinary Meeting of Shareholders on January 31, 2006 dismissed from the Supervisory Board:
Jacek Bartkiewicz - dismissed from the position of the Chairman of the Supervisory Board,
Maciej Gierej,
Krzysztof Obloj,
Malgorzata Okonska-Zaremba,
Adam Sek,
Ireneusz Wesolowski.

At the same time the Extraordinary Meeting of Shareholders appointed to the Supervisory Board:
Dariusz Dabski – Chairman of the Supervisory Board
Maciej Mataczynski – independent member of the Supervisory Board
Zbigniew Macioszek – member of the Supervisory Board
Wojciech Pawlak – member of the Supervisory Board

Dariusz Dabski – graduated with an M.B.A. (USA studies) and from the Academy of Physical Education in Warsaw. An experienced manager of both Polish and foreign technology companies Mr. Dabski has held the positions of, amongst others, Chief Executive Officer of Fujitsu Siemens Computers Poland, TDC Internet and Optimus S.A.

Maciej Mataczynski – law science doctor, legal adviser. Graduated from Adam Mickiewicz University and T.M.C Assera Institute in Hague. Holding a scholarship of the Fulbright Commission at the Harvard Law School and a specialist in commercial and European law. Mr. Mataczyński has worked at a leading Polish law office. Mr Mataczynski is also an author of many law publications in Poland and abroad.

Zbigniew Macioszek – graduated from Warsaw University and from Baruch College of The City University of New York with a B.B.A. in finance and investment. Great experience in working at international investment companies, a member of many training programmes, including the Vienna Joint Institue and Chase Manhatan Bank.

Wojciech Pawlak – graduated from the Warsaw School of Economics, Warsaw University and the New School for Social Research in New York. An experienced manager, expert in market and social researches, Mr. Pawlak has held top manager positions in the biggest Polish media companies and is an experienced member of supervisory bodies of capital companies.

Newly elected members of the Supervisory Board are not involved in any activity competitive with PKN ORLEN and are not partners of any competitive company. They are not members of any board of a competitive capital company and are not on the list of insolvent debtors kept on record on the National Court Register Act.
