ORLEN Administracja shares purchase by PKN ORLEN S.A.

Polski Koncern Naftowy ORLEN S.A. ("PKN ORLEN"), Central Europe’s largest downstream oil company, announces that on April 18th 2006, it was informed that the company ORLEN Administracja sp. z o. o. (“ORLEN Administracja”), a limited liability company headquartered in Plock, was registered on the 16th March 2006 by a District Court in Warsaw (Poland). PKN ORLEN purchased 3 000 shares in ORLEN Administracja, representing 100% of the initial capital of ORLEN Administracja, with a par value PLN 500 of each share, representing 100% of votes at the general meeting of shareholders. The purchased shares in ORLEN Administracja were paid by PKN ORLEN in the form of a cash contribution of PLN 1,500,000.

The ORLEN Administracja specialises in properties administration as well as providing accommodation, restaurants, canteens and catering services.

The Management Board of ORLEN Administracja consists of two persons. Two managing persons of ORLEN Administracja were employed in PKN ORLEN till December 31st 2005.
