Opening of liquidation proceedings for ORLEN Powiernik

Polski Koncern Naftowy ORLEN S.A. ("PKN ORLEN") announces that on 11 February 2009 an Extraordinary General Meeting of Shareholders of ORLEN Powiernik Sp. z o.o. (a limited liability company) (“ORLEN Powiernik”) headquartered in Plock, Poland, accepted a resolution regarding the dissolution of ORLEN Powiernik, and the appointment of Ms. Magdalena Gondowicz as the liquidator.

The registered capital of ORLEN Powiernik amounts to PLN 50 000 and is divided into 100 equal and indivisible shares with a par value of PLN 500 for each share. PKN ORLEN owns 100% of the registered capital of ORLEN Powiernik.

ORLEN Powiernik was established in 2000 to conduct trust services for PKN ORLEN, particulary relating to the purchase, deposit, exchange and sale of bonds convertible into PKN ORLEN shares, in connection with the realization of the management option programme, accepted by the resolution of the General Meeting of PKN ORLEN on 15 May 2000.

The motion regarding the opening of the liquidation proceedings for ORLEN Powiernik will be submitted in the District Court in Warsaw, XIV Economic Division of the National Court Register.
