PKN ORLEN has signed the agreement with ORLEN PetroCentrum

Polski Koncern Naftowy ORLEN S.A. (“PKN ORLEN”) hereby informs that on 15 May 2009 it signed an agreement with Orlen PetroCentrum Sp. z o.o. (“Orlen PetroCentrum”).

On the basis of the agreement PKN ORLEN will sell gasoline and diesel oil to Orlen PetroCentrum from 15 May 2009 to 31 December 2009. The total estimated net value of the agreement amounts to approximately PLN 1 352 000 000 (gross value: PLN 1 649 440 000).

Additionally on 15 May 2009 PKN ORLEN signed an amendment to the agreement for gasoline and diesel oil deliveries, signed with Orlen PetroCentrum on 31 December 2008, which reduced the value of the agreement, according to the prices of products as of 31 December 2008, by ca. 28%.

PKN ORLEN owns 100% of the shares in ORLEN PetroCentrum.

In accordance with the “Regulation of the Minister of Finance, dated 19 February 2009, on current and periodic information to be published by issuers of securities” the agreement signed by PKN ORLEN constitutes a “significant agreement” due to the fact that its value within the termination period exceeds 10% of PKN ORLEN’s equity.
