Annex to the Agreement between PKN ORLEN and NESTE Polska

Polski Koncern Naftowy ORLEN S.A. (“PKN ORLEN”) announces that on 30 December 2009 PKN ORLEN and NESTE Polska Sp. z o.o. (“NESTE Polska”) signed an annex to the three-year agreement dated 31 December 2008 (“Agreement”). The Agreement was signed for the sale by PKN ORLEN of gasoline and diesel oil to NESTE Polska for the period 1 January 2009 to 31 December 2009.

The Annex to the Agreement was signed for the sale by PKN ORLEN of gasoline and diesel oil to NESTE Polska for the period 1 January 2010 to 31 December 2010.
The estimated net value of the Agreement, after signing today Annex, amounts to PLN 2 005 893 503.

In accordance with the “Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information to be published by issuers of securities and on the conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state” the abovementioned agreement, after signing today Annex, constitutes a “significant agreement” due to the fact that its value exceeds 10% of PKN ORLEN’s equity.
