Changes to the PKN ORLEN Supervisory Board
Polski Koncern Naftowy ORLEN S.A. ("PKN ORLEN", “Company”) announces that the PKN ORLEN Extraordinary Meeting of Shareholders on 12 January 2012 dismissed from the Supervisory Board Mr. Krzysztof Kolach.
At the same time the Extraordinary Meeting of Shareholders appointed to the Supervisory Board Mr. Michal Golebiowski.
Additionally Management Board of PKN ORLEN S.A. informs that the Ministry of the State Treasury acting on behalf of the shareholder the State Treasury, according to § 8 item 2 point 1 of the Company’s Articles of Association dismissed Mr. Janusz Zielinski from the PKN ORLEN Supervisory Board with effective date of 11 January 2012 and appointed to the Company’s Supervisory Board Mr. Cezary Banasinski with effective date of 12 January 2012.
Mr. Cezary Banasinski
- Doctor of law, reader at the Faculty of Law and Administration of the University of Warsaw
- Graduate of the Faculty of Management (1977) and Law and Administration of the University of Warsaw (1980)
- Scholarship among others at the Faculty of Law of the University of Vienna, of the Humboldt Foundation at the universities of Constance, Munich and Vienna and of the University of Tubingen
- From 1980 to 1982 - junior and senior assistant lecturer at the Department of Labour Law and Social Policy at the Faculty of Management of the University of Warsaw and then in Higher School of Public Administration in Ostroleka, from September 2004 professor, lectures on public economic law.
- From 1997 to 2000 - advisor at the Constitutional Tribunal’s Office of Adjudication, responsible for analyzing judgments of the European Court of Justice
- From 1999 to 2001 - under-secretary of state at the European Integration Committee responsible for harmonization of the Polish law with the EU law.
- From 2001 to 2007 - President of the Office of Competition and Consumer Protection responsible for the state of competition on the Polish market and the legal protection of consumers, as well as for monitoring the granting of state aid.
- From 2002 to 2004 - head of the team negotiating Poland’s membership in the EU, responsible for the “Competition policy” negotiating area
- From 2005 to 2006 - member of the Polish Securities and Exchange Commission and the Commission for Insurance and Pension Fund Supervision
- From 2006 to 2007 - member of the Coordinating Committee for Financial Conglomerations
- Member, expert, advisor of teams and state-owned committees, arbitrator of the Court of Arbitration at the National Chamber of Commerce (from 2004), member of the Board Program Foundation “European Law” (2002-2010) and other foundations, associations and courts.
- Chairman of the Supervisory Board at PKO BP S.A. as well as other companies with share of the State Treasury (or stated-owned and council legal entities).
- He is the author and co-author of many publications: books, articles, commentaries for acts and judgments of the Court of Justice in the scope of the administration and economic law and the European economic law.
Mr. Michal Golebiowski
- Graduate of the Faculty of Law and Administration, University of Warsaw, scholarship at Faculty of Law, Universita degli Studi di Napoli Federico II.
- From 2008 member of the Civil Service Corp.
- From 2009 employed at the Ministry of the State Treasury, currently at the position of the Head of Office In the Department of Key Companies, responsible among others for supervision over fuel and gas sector companies.
- From March 2010 Deputy Chairman of Supervisory Board of Gornoslaska Spolka Gazownictwa Sp. z o.o. and Secretary of the Supervisory Board of Polskie LNG S.A.
Mr. Cezary Banasinski has submitted a statement that he fulfils the criteria of independent member of PKN ORLEN Supervisory Board.
Newly elected members of the Supervisory Board are not involved in any activity competitive with PKN ORLEN and are not partners of any competitive company. They are not members of any board of a competitive capital company and are not on the list of insolvent debtors kept on record on the National Court Register Act.
