ORLEN Deutschland has signed the agreement with BP Europe for purchase of fuels

Polski Koncern Naftowy ORLEN S.A. (“PKN ORLEN”) hereby informs that on 4 May 2012 ORLEN Deutschland GmbH, PKN ORLEN’s subsidiary (“ORLEN Deutschland”) signed an agreement with BP Europe SE, headquartered in Bochum, member of the BP group (“BP Europe”). The agreement was signed for the sale of fuels to ORLEN Deutschland fuel stations in Germany, for the period from 1 January 2012 to 31 December 2012. The total estimated net value of the agreement amounts to EUR 1 124 m (i.e. approximately PLN 4 707 m based on EUR/PLN average exchange rate as of 4 May 2012, stated by the National Bank of Poland).

The total value of agreements signed between PKN ORLEN and PKN ORLEN subsidiaries and companies from the BP group in the period from 4 January 2012 to 4 May 2012 amounts to approximately PLN 5 418 m.

The agreements between PKN ORLEN and PKN ORLEN subsidiaries and companies from the BP group were concluded for the sales and purchase of products and purchase of crude oil.

In accordance with the “Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information to be published by issuers of securities and on the conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state” the abovementioned agreements constitute a “significant agreement” due to the fact that their total value exceeds 10% of PKN ORLEN’s equity.

PKN ORLEN owns 100% of the registered capital of ORLEN Deutschland.
