Agreements between ORLEN Capital Group and Shell Group

Polski Koncern Naftowy ORLEN S.A. ("PKN ORLEN") informs that on 24 December 2012 it signed one-year agreement with Shell Energy Europe Limited, Great Britain, company belonging to the Shell group, for natural gas deliveries to PKN ORLEN for the period between 1 January 2013 and 1 January 2014 (“Agreement”). The estimated net value of the Agreement amounts to approximately PLN 302 million. Realisation of the Agreement has been dependent on obtaining by PKN ORLEN required transmission capacities in the gas system. According to the date required in the Agreement, on 28 December 2012 PKN ORLEN confirmed obtaining of transmission capacities in OGP GAZ-SYSTEM.

The total estimated value of agreements signed between PKN ORLEN and PKN ORLEN subsidiaries and companies from the Shell group in the period between 5 May 2012 and 28 December 2012 amounts to approximately PLN 2 481 million.

The agreements between PKN ORLEN and PKN ORLEN subsidiaries and companies from the Shell group were concluded for the purchase of crude oil, natural gas, supplies of fuels and transport services.

In accordance with the “Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information to be published by issuers of securities and on the conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state” the abovementioned agreements constitute a “significant agreement” due to the fact that their total value exceeds 10% of PKN ORLEN’s equity.
