ORLEN Deutschland has signed the agreement with Shell Deutschland Oil
Polski Koncern Naftowy ORLEN S.A. (“PKN ORLEN”) announces that it has been informed that on 12 February 2013 ORLEN Deutschland GmbH (“ORLEN Deutschland”) signed agreement with Shell Deutschland Oil GmbH, headquartered in Hamburg (“Shell Deutschland Oil”), member of the Shell group. The agreement was signed for the sale of fuels to ORLEN Deutschland fuel stations in Germany, for the period from 1 January 2013 to 31 December 2013. The total estimated net value of the agreement amounts to EUR 815 m (i.e. approximately PLN 3 397 m based on EUR/PLN average exchange rate as of 12 February 2013, stated by the National Bank of Poland).
The total value of agreements signed between PKN ORLEN and PKN ORLEN subsidiaries and companies from the Shell group in the period from 9 January 2013 to 16 April 2013 amounts to approximately PLN 3 910 m.
The agreements between PKN ORLEN and PKN ORLEN subsidiaries and companies from the Shell group were concluded for the purchase of products and crude oil.
In accordance with the “Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information to be published by issuers of securities and on the conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state” the abovementioned agreements constitute a “significant agreement” due to the fact that their total value exceeds 10% of PKN ORLEN’s equity.
PKN ORLEN owns 100% of the registered capital of ORLEN Deutschland.
