Changes in the PKN ORLEN Supervisory Board

Polski Koncern Naftowy ORLEN S.A. ("PKN ORLEN") announces that the Ordinary General Meeting of Shareholders on 27 June 2013 appointed the following people as PKN ORLEN Supervisory Board Members for a new term of office. Ms Angelina Anna Sarota was elected to the position of Chairman of the PKN ORLEN Supervisory Board. The following Supervisory Board Members were also elected: Mr Cezary Banasiński, Mr Grzegorz Borowiec, Mr Artur Gabor, Mr Michał Gołębiowski, Mr Cezary Możeński and Mr Leszek Jerzy Pawłowicz.

Ms Angelina Anna Sarota

Doctor of Laws, graduate from the Faculty of Law and Administration of the Jagiellonian University, the National School of Public Administration and post diploma studies ”Strategic Management of Human Resources” at the Leon Koźmiński University.

Ms Sarota is a civil servant. Between 2001–2003, she was employed in the Court Representation Department and the Restructuring and Public Help Department at the Ministry of StateTreasury. In 2003, she was employed in the Ministry of Science and Information Technology as an advisor to the Minister, between 2003–2005, she held the position of the deputy director at the Department of Strategy and Science Development, in 2005, she was acting as the Law Director. Since November 2005, she is a Director of the Law Department at the Chancellery of the Prime Minister. She is a Member of Management Board of The College of Europe in Warsaw. She has passed the exam for the members of supervisory boards of companies with the share of the State Treasury. She was a Member of Supervisory Boards among others of the following companies: Cerg limited company in Gliwice, Chemar limited company in Kielce, Vice-Chairman of the Supervisory Board of Warsaw Technology Park . Since June 2008, Secretary of PKN ORLEN Supervisory Board for two previous terms of office.

Mr. Cezary Banasiński

  • Doctor of law, reader at the Faculty of Law and Administration of the University of Warsaw.
  • Graduate of the Faculty of Management (1977) and Law and Administration of the University of Warsaw (1980)
  • Scholarship among others at the Faculty of Law of the University of Vienna, of the Humboldt Foundation at the universities of Constance, Munich and Vienna and of the University of Tubingen
  • From 1980 to 1982 - junior and senior assistant lecturer at the Department of Labour Law and Social Policy at the Faculty of Management of the University of Warsaw and then in Higher School of Public Administration in Ostroleka, from September 2004 professor, lectures on public economic law.
  • From 1997 to 2000 - advisor at the Constitutional Tribunal’s Office of Adjudication, responsible for analyzing judgments of the European Court of Justice
  • From 1999 to 2001 - under-secretary of state at the European Integration Committee responsible for harmonization of the Polish law with the EU law.
  • From 2001 to 2007 - President of the Office of Competition and Consumer Protection responsible for the state of competition on the Polish market and the legal protection of consumers, as well as for monitoring the granting of state aid.
  • From 2002 to 2004 - head of the team negotiating Poland’s membership in the EU, responsible for the “Competition policy” negotiating area
  • From 2005 to 2006 - member of the Polish Securities and Exchange Commission and the Commission for Insurance and Pension Fund Supervision
  • From 2006 to 2007 - member of the Coordinating Committee for Financial Conglomerations
  • Member, expert, advisor of teams and state-owned committees, arbitrator of the Court of Arbitration at the National Chamber of Commerce (from 2004), member of the Board Program Foundation “European Law” (2002-2010) and other foundations, associations and courts.
  • Chairman of the Supervisory Board at PKO BP S.A. as well as other companies with share of the State Treasury (or stated-owned and council legal entities). Since January 2012 a Member of Supervisory Board of PKN ORLEN S.A. for previous term of office.

He is the author and co-author of many publications: books, articles, commentaries for acts and judgments of the Court of Justice in the scope of the administration and economic law and the European economic law.

Mr. Grzegorz Borowiec

Graduate from the Gdynia Maritime University, the Faculty of Navigation - 1987, the National School of Public Administration – 1997, Master of Business Administration – the University of Warsaw/University of Illinois – 2002, the University of Warsaw, the Faculty of Management – 2002; appointed civil servant.

Between 1987 and 1994, Mr Borowiec worked as a deck officer for Polish and foreign ship owners in a merchant fleet. From April 1997 to June 1998, he held the position of the Deputy Director of the Ministry of the State Treasury Office for Free of Charge Distribution of Shares to Entitled Employees.. Between 1998–2001 he worked as General Director in the Energy Regulatory Authority.. Since August 2001, Mr Borowiec was the Director of the Finance Department in the Ministry of Finance. Member of the Supervisory Board of WSK “Rzeszów” (1998) and PKP SKM Fast City Railway in the Polish Tricity area (from 2002). He graduated from many domestic and foreign. training courses, which is attested by relevant certificates, e.g. the Internal Auditor Certificate (2005), the NATO Security Certificate (NATO secret – 2002), course on institutional and economic reform of the energy sector (Power Sector Reform – USAID, USA - 1999) and training in project management  (PRINCE2 - 2006). Since 12 December 2007, General Director of the Ministry of State Treasury. Since October 2009, Member of the Supervisory Board of TVP S.A.,– representing the Minister of State Treasury. Since January 2010, member of the Audit Committee at the Ministry of Regional Development. In May 2010, he was appointed for examiner by the Examination Board for certified auditor candidates. He has been a Member of PKN ORLEN Supervisory Board for the two previous terms of office..

Mr. Michał Gołębiowski

Graduate of the Faculty of Law and Administration of the University of Warsaw, scholarship student at the Faculty of Law of the Universita degli Studi di Napoli Federico II.

Between 2008-2009 expert at the Ministry of the Environment, where he worked with the legal aspects of the greenhouse gas emissions permit trade system. Since 2009 he has worked at the Ministry of State Treasury, currently at the position of Deputy Director in the Department of Strategic Projects. He is responsible, among other duties, for supervision over fuel and gas sector strategic companies. He was involved in work on the special act dedicated to carrying out the development at the LNG terminal in Świnoujście, as well as negotiating with the European Commission on the application for EU funding for the project. He has broad knowledge and experience in the field of Polish and European energy sector regulations, as well as in the activities of energy entrepreneurs.

He has been a Secretary of Supervisory Board of Polskie LNG S.A., an investor in the LNG terminal in Świnoujście, and serves in the role of Deputy Chairman of Górnośląska Spółka Gazownictwa Sp. z o.o. Since January 2012 a Member of PKN ORLEN Supervisory Board for the previous term of office.
