Disclosure of delayed inside information regarding approval and transferring of the agreement on cooperation between PKN ORLEN S.A., LOTOS S.A. Group, PGNiG S.A. and the State Treasury concerning taking control over LOTOS S.A. Group and PGNiG S.A. by PKN

PKN ORLEN S.A. (“Company”) discloses the following inside information, publication of which was delayed on 5 May 2021:

“PKN ORLEN S.A. (“Company”) hereby informs that on 5 May 2021 the Company’s Management Board approved and transferred to the Ministry of the State Assets proposal of the agreement on cooperation between PKN ORLEN S.A., LOTOS S.A. Group, PGNiG S.A. and the State Treasury concerning taking control over LOTOS S.A. Group and PGNiG S.A. by PKN ORLEN S.A. (“Proposal of the Agreement”). The Proposal of the Agreement includes recommended method of conducting of the transaction of taking control over LOTOS S.A. Group and PGNiG S.A. by PKN ORLEN S.A., under condition that PKN ORLEN S.A. will be a leading company in this process. 

According to the Proposal of the Agreement the State Treasury and PKN ORLEN S.A. will be cooperating in the development of analysis, which aim will be the final confirmation of the method of conducting of the transaction as optimal from the point of view of the State Treasury.”
