The statement of claim for repealing the resolution of Extraordinary General Meeting of PGNiG 

PKN ORLEN S.A. ("PKN ORLEN", “Company”) hereby informs that today the District Court for Łódź, X Commercial Division, delivered to the Company the statement of claim filed by a shareholder of the former Polskie Górnictwo Naftowe i Gazownictwo Spółka Akcyjna, registered office in Warsaw, ("PGNiG ") for repealing of the resolution No. 3/2022 adopted at the Extraordinary General Meeting of PGNiG on October 10, 2022 on the merger of the Company with PGNiG and consent to the proposed amendments to the Articles of Association of PKN ORLEN, together with a claim for potential annulment of this resolution.

In the Company’s opinion the statement of claim is groundless.
