Changes in the Management Board of ORLEN S.A.

ORLEN S.A. (“Company”) announces that on 16 April 2024 the Company’s Supervisory Board appointed to the composition of the Company’s Management Board with effect from 1 May 2024 the following persons:

• Ms Magdalena Bartoś for the position of Vice-president of the Management Board, Financials,

• Mr Robert Soszyński for the position of Vice-president of the Management Board, Strategy and Sustainable Development,

• Mr Wiesław Prugar for the position of Member of the Management Board, Upstream.

 

for the common term of office, which ends on the date of the Ordinary Shareholders Meeting that will approve the Company’s financial statement for 2025.

 

Moreover the Company’s Supervisory Board at the same meeting decided to remove Mr Józef Węgrecki from the position of the Company’s Management Board Member with effect from 30 April 2024.

 

Ms Magdalena Bartoś

 

Ms Magdalena Bartoś is an experienced financial director with a proven track record and effectiveness in achieving the goals. She managed the financials in production and services companies, including public companies. She gained her managerial experience in Poland and abroad, among others in fuel and energy sectors and road transport services.

In 2019-2023 she was a Management Board Member of W.A.G. payment solutions a.s. where she was responsible, among others, for preparing and processing of Eurowag Group initial public offering at the London Stock Exchange. In 2017-2018 she held the position of a Management Board Member of Paged S.A. and in 2014-2016 she was employed as a Managing Director for Economic and Financial Affairs in PGE Polska Grupa Energetyczna S.A. Earlier she was employed in Enea Operator and Nike Poland as a Financial Director, and in 2009-2012 she held a position of Management Board Member, Financial Director at Zelmer Group. In 2007-2009 in ORLEN Group she was responsible for integration of the financial area after acquisition of refinery in Mazeikiu and she held a position of a Deputy Financial Director at Mazeikiu Nafta, responsible for accounting and financial reporting and planning. She started her career in audit and transaction advisory teams at Ernst & Young.

 

Since 2023 she is a Chair of the Supervisory Board of Trans.eu Group S.A.

 

She has an extensive experience in M&A transactions. She implemented the best practices in finance management and introduced changes in structures and work organization of financial teams in large entities. During her job career she managed many times the projects of funding on the public and banking market.

 

Ms Magdalena Bartoś graduated from the Management Faculty of Poznań University of Economics and Business. Completed also a cycle of ACCA exams and post-diploma studies in business cooperation with Africa.

 

Mr Robert Soszyński

 

Manager with over 30-year job experience. He has an extensive experience in managing of commercial law companies, in particular energy sector. In 2008 he held a position of the President of the Management Board of CIECH Service Sp. z o.o., in 2008-2011 a position of the President of the Management Board of PERN Przyjaźń S.A. He was also the Vice-president of the Management Board of the Polskie LNG S.A. (in 2015). In 2018-2021 he held the position of the Deputy of the President of Warsaw Capital City.

During his job career he successfully coordinated many large investment projects, in particular in the oil and gas area, including crude oil tanks park and commissioning of one of the key, in the point of view of the energy security of Poland, investment in gas port in Świnoujście.

 

He graduated from Warsaw University of Technology (Technical Physics and Applied Mathematics) and MBA studies at Gdańsk University. Member of Supervisory Boards, among others: Rockbridge TFI S.A., PAGED Energy S.A., Masovian Railways-KM S.A. He passed an exam for candidates for Members of Supervisory Boards of State Treasury Companies.

 

Dr - Ing. Wiesław Prugar 

 

Manager with over 37-year experience in energy sector, in particular in management of the key entities from the energy sector. 

He completed his PhD and engineering studies at the AGH University of Krakow. Graduate from post-diploma studies at the Silesian University of Technology and at the Warsaw School of Economics. Involved in the sector since 1987, among others in Oil and Gas Institute, Gazomontaż S.A., PGNiG S.A. and ORLEN S.A. Member of many branch organizations. Long-time member of Advisory Council of Energy and Geoscience Institute (EGI) at the Utah University specializing in, among others, innovative solutions for oil and gas industry. As an advisor he co-founded an investment Trend Energy Solutions S.A. in low-carbon generation sources and renewable energy.

 

Ms Magdalena Bartoś, Mr Robert Soszyński and Mr Wiesław Prugar have submitted written statements that they will not be involved in any activity competitive with ORLEN S.A. and are not and will not be partners of any competitive civil law partnerships, partnerships, capital companies, will not be members of any boards of a competitive capital companies. They also stated that they are not on the list of insolvent debtors kept on record on the National Court Register Act.
