ORLEN S.A. (“Company”) informs that the Company’s shareholder, Nationale-Nederlanden Otwarty Fundusz Emerytalny in connection with the Ordinary General Meeting of ORLEN S.A., convened for 5 June 2025, the agenda of which consists of among others the point regarding appointment of Members of the Supervisory Board., submitted a candidate of Ms Ewa Sowińska for an independent member of ORLEN Supervisory Board.

Member of ORLEN Supervisory Board since 2 December 2024.

Graduate of the Faculty of Economics of the Gdańsk University.

A Partner of ESO Audit since 2009. Formerly a Member of the Management Board of PwC.

A chartered accountant with almost 30 years of experience in audit firms.

For 12 years (in years 2007-2019) she actively participated in the work of the self-government of chartered accountants - the Polish Chamber of Chartered Accountants (PIBR)

Deputy President of the National Council of Statutory Auditor from 2015 to 2019. Chairman of the PIBR education commission and coordinator of sustainability reporting issues. She was responsible for cooperation with ACCA, Responsible Business Forum (FOB), IIA Poland, the Polish Association of Listed Companies- SEG, the Ministry of Finance (MF) in the field of education and non-financial reporting. In 2017 she received PIBR medal for her works on behalf of the auditors self-government.
