New members of ORLEN Supervisory Board

ORLEN S.A. (“Company”) informs that on 13 November 2025 the Company’s Extraordinary General Meeting appointed:

-     Mr Przemysław Baszak for the position of the Company’s Supervisory Board Member,

-     Mr Aleksander Kappes for the position of the Company’s Supervisory Board Member.

Mr Przemysław Baszak graduated with a master's degree from the Faculty of History at the Higher School of Pedagogy in Zielona Góra (now the University of Zielona Góra) in 1995.

In 2000, he completed postgraduate studies in Document Expertise at the Faculty of Law and Administration of the University of Wrocław. He is a graduate of the Warsaw School of Economics – Master of Business Administration (MBA) studies, as well as postgraduate studies in Internal Audit and Management Control in Public Finance Sector Entities.

Between 1996 and 2014, he held managerial positions in the Police and the Internal Security Agency (ABW), most recently serving as Adviser to the Head of ABW. From 2006 to 2008, as Deputy Director of the Department of Security and Public Order at the Ministry of Interior and Administration (MSWiA), he oversaw the implementation of the Modernisation Act for Public Order Services. He served as Secretary of the Interdepartmental Team for Terrorist Threats. Between 2012 and 2016, he headed the Department of Security and Information Protection at Polska Spółka Gazownictwa sp. z o.o. and the Office for Protection and Security at Polska Wytwórnia Papierów Wartościowych S.A. From 2016 to 2020, he was the President of the Management Board of TBU and a member of the management board at SOMNUS. Since 2018, he has been running a business providing consultancy in the field of business security.

He holds a PRINCE 2 Foundation certificate in project management.

In April 2015, he passed the state examination for candidates for Supervisory Board Members in State Treasury Companies.

He sits on the supervisory boards of the State Treasury Companies: Polska Grupa Zbrojeniowa S.A. and CENTROZŁOM Wrocław S.A. (KGHM Metraco S.A.).

Dr hab. Aleksander Kappes is a professor at the University of Łódź. Since completing his law studies in 1990, he has been a faculty member at this university in the Department of Commercial Law, Insurance, and Industrial Property Law (formerly the Department of Economic and Commercial Law), where he currently serves as the head.

In addition to his academic work, from 1990 to 1992, Professor Aleksander Kappes completed a judicial apprenticeship, which concluded with a judicial exam, and then from 1994 to 1996, he also completed an attorney apprenticeship at the Bar Association in Łódź. After obtaining the professional title of attorney, Professor Kappes has been practising civil law, particularly commercial and company law, especially corporate law. He currently practices as an attorney in his own law office and provides consulting services for enterprises.

From 2011 to 2015, Professor Kappes was a member of the Company Law Team of the Civil Law Codification Commission at the Minister of Justice of the Republic of Poland, and in subsequent years, he served as an expert for the Polish Parliament on the draft amendment to the Commercial Companies Code introducing the simple joint-stock company (2019), as well as for the Polish Senate on the amendment to the Commercial Companies Code introducing, among other things, the law on corporate groups (2022).

Professor Aleksander Kappes is the author of about 80 scientific publications, including five monographs on company law, as well as a co-author of specialist studies, academic textbooks, and several dozen journalistic articles. He is also the author or co-author of over 150 legal opinions and expert reports for public institutions and entrepreneurs, including for the Sejm, Senate, and the largest Polish companies.

He is also an arbitrator at the Arbitration Court at the Polish Chamber of Commerce in Warsaw and the Arbitration Court at the Polish Confederation of Private Employers “Lewiatan.” He has participated in the supervisory boards of several companies, including those with State Treasury and municipal participation.

All members of the Supervisory Board of ORLEN S.A. appointed today have submitted written statements declaring that, upon assuming their positions on the Supervisory Board of ORLEN S.A., they will not engage in any activity competitive to ORLEN S.A., nor will they be partners in any competing civil law, registered partnerships, or capital companies, nor participate in other competing legal entities as members of their governing bodies. They have also declared that they are not listed in the Register of Insolvent Debtors maintained pursuant to the Act of 20 August 1997 on the National Court Register (Journal of Laws 2025, item 869).
