Termination of term sheet with Poczta Polska

ORLEN S.A. (“Company”) announces that on 2 February 2026, the Company and Poczta Polska S.A. (“Poczta Polska”) have jointly decided to withdraw from the implementation of the term sheet dated 26 September 2025, regarding the acquisition of up to 100% of shares in ORLEN Paczka by Poczta Polska.

ORLEN is the sole shareholder of ORLEN Paczka, which operates in the courier delivery market.
