Ms Diana Batko appointed to the Management Board of ORLEN S.A.

ORLEN S.A. (“Company”) announces that on 13 July 2026 the Minister of the State Assets, acting on behalf of the shareholder the State Treasury, according to § 9 item 1 point 3 of the Company’s Articles of Association appointed Ms Diana Batko as a Member of the Management Board for the current term of office, effective as of 13 July 2026.

Ms Diana Batko

A manager with more than 25 years of experience in the railway sector and intermodal logistics, combining operational, financial and corporate competencies. She has experience in the implementation of large infrastructure projects, exercising ownership supervision, and managing a company within the structures of an international capital group.

From 2015 to 2026, she served as Managing Director and Authorised Signatory of Hupac Terminal Brwinów Sp. z o.o., a company belonging to the Swiss Hupac SA Group, one of Europe’s leading intermodal transport operators. She led the project to build the intermodal terminal in Brwinów—from land acquisition, through administrative and environmental proceedings, to the start of operations in 2022—and subsequently managed its day-to-day operations, being responsible for the company’s financial performance, budget, and relations with rail carriers, the infrastructure manager PKP PLK, and European logistics operators.

From 2011 to 2014, as Director of the Ownership Supervision Office at PKP CARGO S.A., she exercised ownership supervision over more than a dozen Group companies, including rolling-stock companies, and participated in preparing the PKP CARGO Group for its stock market debut on the Warsaw Stock Exchange in 2013, being responsible for aligning the corporate governance and supervisory structures of subsidiaries with the requirements applicable to a public company. She also took part in the Group’s restructuring processes, including dialogue with the social partners in an environment comprising more than a dozen trade union organisations.

She was associated with the PKP CARGO Group for a total of 17 years (1997–2014), progressing from an independent position responsible for tenders and rolling-stock leasing, through managerial roles in finance and controlling, to the position of Director of the Economic Office, responsible for planning and budgeting at the level of the entire Company. From 2008 to 2014, she served as a Member of the Supervisory Board of Group companies: PKP CARGO-WAGON Jaworzyna Śląska Sp. z o.o. (2008–2013) and PKP CARGOWAG Sp. z o.o. (2013–2014).

She is a graduate of Finance and Banking at the Cracow University of Economics and of MBA management studies. She completed postgraduate studies in management accounting and controlling, freight transport organisation in the European Union, as well as postgraduate studies in professional coaching. She is fluent in German.

Ms Diana Batko submitted statement that she is not involved in any activity competitive with ORLEN S.A. and is not a partner of any competitive civil law partnership, partnership, capital company, is not a member of any board of a competitive capital company. She also stated that she is not on the list of insolvent debtors kept on record on the National Court Register Act.
