Dismissal of the statement of claim for annulment of the resolution of ORLEN EGM

ORLEN S.A. (“ORLEN”, “Company”) informs that on 20 July 2026 the Court of Appeal in Łódź issued a partial judgment and amended the judgment of the District Court in Łódź X Commercial Division dated 27 May 2025. The Court of Appeal in Łódź has dismissed Company’s shareholder statement of claim for annulment of the resolution no 5 adopted by the Extraordinary General Meeting of ORLEN on 2 December 2024 to seek compensation for losses incurred by the Company due to misconduct by the former members of the Management Board in their capacity as such (“Resolution”). As regards the remaining scope, i.e. the request for the annulment of the Resolution, the Court of Appeal in Łódź referred the case to the District Court for reconsideration.

The judgment in the scope of the statement of claim for annulment of the resolution is final.
