Intended squeeze out of minority shareholders of Energa S.A.

ORLEN S.A. (the “Company”) informs that the Company’s Management and Supervisory Boards gave consent to squeeze out the minority shareholders of Energa S.A. (“Squeeze Out”).

The Company will squeeze out pursuant to the Polish Act on Public Offering all remaining shareholders of ENERGA S.A.

The Squeeze Out will be announced on 30 September 2026.

The price offered within the Squeeze Out for one share of Energa S.A. will amount to PLN 27,60 and is in line with the fair value determined by the auditor.
