PKN ORLEN S.A. (“Company”) announces that the Supervisory Board of PKN ORLEN, following its meeting on 29 June 2017, has appointed following persons to the Company’s Management Board:
- Mr Mirosław Kochalski to the position of Vice-president of the Management Board,
- Mr Zbigniew Leszczyński to the position of Member of the Management Board,
- Mr Krystian Pater to the position of Member of the Management Board,
- Mr Wiesław Protasewicz to the position of Member of the Management Board,
- Ms Maria Sosnowska to the position of Member of the Management Board,
for the common three year term of office, starting from the day coming after the day of termination of the current common term of office of the Company’s Management Board, i.e. after the day of the Ordinary Shareholders Meeting that will approve financial statement for 2016.
Mr Mirosław Kochalski holds the position of Vice-presidents of the Management Board, Mr Zbigniew Leszczyński and Mr Krystian Pater hold the position of Members of PKN ORLEN Management Board in the current term of office.
Mr Mirosław Kochalski
Mr Mirosław Kochalski was appointed by the Supervisory Board to the position of Vice President of the Management Board on 8 February 2016.
He is a graduate of the Faculty of History at the University of Nicolaus Copernicus University in Toruń. He completed postgraduate studies at the National School of Public Administration and “Enterprise Value Management” at the Warsaw School of Economics. He has a long-standing experience on managerial and advisory positions in the private and public sector.
In 1994 he worked at the Chancellery of the Prime Minister as a Chief Specialist. In years 1995–1999 he worked at the Public Procurement Office as a Director of Public Procurement Bulletin, Director of Training and Promotion Department and then as a Chief Executive Officer. From 1999 to 2002 he held the position of the Director of Supplies and Non-fuel Purchases Department at PKN ORLEN S.A. In years 2003-2006 he was an employee of the local government of the City of Warsaw, starting from the position of the Director in the Public Procurement Office and then acting as the President of the City of Warsaw. From 2006 to 2008 he held the position of the President of the Management Board of Ciech S.A. In 2010 he worked as Managing Director at Coifer Impex SRL in Bucharest. From 2012 to 2015 he acted as Director of the Centre for Document Personalization in the Ministry of Interior.
Mr Zbigniew Leszczyński
Mr Zbigniew Leszczyński is the Member of the Management Board since 8 February 2016.
He is a graduate of the University of Warsaw, Faculty of Accounting and Finance. He also completed postgraduate courses, including EU Business Management at the Warsaw School of Economics, Computer Networks Design and Operation at the Nicolaus Copernicus University in Toruń, and Project Management at the Kozminski University.
He has extensive managerial experience in the fuels industry. Having worked for the ORLEN Group for almost a decade, he was responsible for various projects, including the construction and development of the service station chain and retail network settlements at ORLEN Paliwa and for supporting and expanding the refining product wholesale business at PKN ORLEN. He also implemented many strategic projects for PKN ORLEN.
He also served as President of the Management Board of Wodociągi i Kanalizacja w Opolu Sp. z o.o., President of the Management Board of Rynex Sp. z o.o., President of the Management Board of Wisła Płock S.A. and Sales and Marketing Director at Kompania Węglowa S.A. He also owned his own business providing project management, supervision and advisory services.
He also serves as Chairman of the Supervisory Board of ORLEN Deutschland GmbH, Member of the Supervisory Board of Unipetrol and Chairman of the Supervisory Board of ORLEN Paliwa.
Mr Krystian Pater
Mr Krystian Pater is the Member of the Management Board of PKN ORLEN since March 2007.
He is a graduate of the Nicolaus Copernicus University in Toruń, Faculty of Chemistry. Additionally, he has completed post-graduate courses in Chemical Engineering and Equipment at the Warsaw University of Technology, Management and Marketing at the Paweł Włodkowic University College in Płock, Petroleum Sector Management, Enterprise Value Management at the Warsaw School of Economics and Academy of Leadership Psychology at the Warsaw University of Technology Business School. In 1993, he started working for Petrochemia Płock SA and, later on, for PKN ORLEN, where from 2005 to 2007 he served as Executive Director responsible for Refining Production.
Currently he is Member of the Management Board of AB ORLEN Lietuva and Member of the Supervisory Board of Unipetrol a.s. Additionally, he serves as Member of the Management Board of CONCAWE and Chairman of the Association of Oil Industry Workers in Płock.
Mr Wiesław Protasewicz
Mr Wiesław Protasewicz graduated from the Faculty of Production Economics of the Central School of Planning and Statistics in Warsaw (currently the Warsaw School of Economics). He also completed post-graduate studies in Accounting at the Kozminski University in Warsaw. Qualified provider of commercial bookkeeping services, based on a certificate issued by the Minister of Finance.
He started his professional career in 1978. In years 1982−1990, he was employed at Mostostal Siedlce, where he was involved in production planning and then exports.
In 1990−1994, he worked at the Siedlce Provincial Authority as a Head of the Economic Development Department, and from 1993 he was Province Governor of Siedlce. In 1994, he started working for commercial companies in Warsaw, where he held the position of Chief Financial Officer.
In 1998, he was appointed to the Management Board of PKP and then of PKP S.A., where he was Vice-President of the Management Board responsible for economics and finance.
From 2003, he was a Member of the Management Board of Miejskie Zakłady Autobusowe Sp. z o.o. in Warsaw and was in charge of the economics and finance division, marketing, and implementation of IT projects.
At the end of 2007, he was appointed as the Vice-President of the Management Board of Polskie Sieci Elektroenergetyczne Operator S.A. in Warsaw.
Since 2010, he has limited his professional activities because of his family situation, dealing with consultancy on economics.
In the period 1992−2009, he participated in the Supervisory Boards of many commercial companies, including Hydrobudowa-6 S.A. of Warsaw, WARS S.A. of Warsaw, PKP Przewozy Regionalne Sp. z o.o. of Warsaw, and PSE Centrum S.A. of Warsaw. In most of the Supervisory Boards he was the Chairman.
From 3 June 2016 to 29 June 2017 he held the position of the member of PKN ORLEN Supervisory Board.
Ms Maria Sosnowska
Ms Maria Sosnowska graduated from the Warsaw School of Economics, MBA studies with honors. Graduate of postgraduate studies: Law and Administration, the Faculty of Law and Administration at the University of Warsaw; Management in Public Administration at Kozminski Academy in Warsaw; Corporate Finance Management, the Faculty of Management at the University of Warsaw and Germanic Philology at the University of Warsaw.
She has an experience in management both in private and in public sector.
In years 1995-2006 she worked at the City Hall of Warsaw, recently as a Deputy Director of the City Mayor’s Cabinet. In years 2006-2009, while she was working as Director of the Management Board Office in CIECH S.A., she supervised projects using synergy in the Capital Group. In years 2009-2012 she was a Deputy Director as a Management Board Member for Organisation and Management of the Industrial Chemistry Institute. Since November 2012 Deputy Director and since December 2015 Director of Documents Personalization Centre at the Ministry of the Interior and Administration.
She has been working at PKN ORLEN since July 2016. Initially she was employed as a Director of Administration Department, and then from October 2016 as a Procurement Executive Director. At the same time she is the Chairman of the ORLEN Capital Group Council.
Ms Maria Sosnowska has a qualifications required for Supervisory Board Member of State Treasury companies and many years of experience in supervising companies such as: Polski Holding Farmaceutyczny S.A., Alwernia S.A., Z. Ch. „Silikony Polskie” Sp. z o.o., PWPW S.A. and in the Council of the Foundation FUNDUSZ WSPÓŁPRACY.
All of the newly elected members of the PKN ORLEN Management Board have declared that upon joining the Management Board of PKN ORLEN they will not be involved in any activity that competes with PKN ORLEN; will not be a partner of any competing company; and will not be members of any board of a competing incorporated company. All of the newly elected members of the PKN ORLEN Management Board are not on the List of Insolvent Debtors kept on record on the National Court Register Act.
