Supplement to the information on appointment of Mrs Małgorzata Niezgoda to the PKN ORLEN S.A. Supervisory Board

PKN ORLEN S.A. (“Company”), as a supplement to the regulatory announcement no 3/2018 as of 5 January 2018, announces curriculum vitae of Mrs Małgorzata Niezgoda, who has been appointed today to the PKN ORLEN S.A. Supervisory Board.

Mrs Małgorzata Niezgoda graduated from the Warsaw University of Life Sciences (SGGW) at the Faculty of Environmental Engineering.

For 21 years she is connected with the public administration, including since 2005 she is a nominated civil servant. Currently she is a Director of Supervision and Ownership Policy Department at the Ministry of Energy, where supervision over the key oil and gas and energy, state-owned companies is conducted. Between February 2015 and December 2015 she was employed at the Ministry of the State Treasury on the position of deputy director in Restructuring and Public Aid Department, next in Key Companies Department, where she was mainly responsible for the supervision over realization of restructuring processes in the coal mining sector. From November 2014 to February 2015 she was managing the Department of Mining at the Ministry of Economy, where she was responsible for preparation of the concept on repair of the coal mining sector companies, changes in regulations allowing the deep restructuring of that companies and preparation and conduct of notification of the program of aid for that sector.

In the years 1996 – 2014 employed at the Ministry of the State Treasury. Since 2008 she was working in departments responsible for ownership supervision over state-owned companies, where since 2009 as a Head of the Department (Ownership Supervision Department II, Key Companies Department, Strategic Projects Department). She supervised mainly energy sector companies (i.e. TAURON Polska Energia S.A., ENERGA S.A. ENEA S.A. and PGE Polska Grupa Energetyczna S.A.) and also from building, metal industry, shipbuilding industry, publishing and printing sectors as well as entities such as Mennica Polska S.A., KGHM Polska Miedź S.A., ARP S.A., PWPW S.A. She was responsible for supervision of all economic and law issues regarding exercising rights from shares in these entities, including documentation analysis, preparation of recommendations and ownership decisions in relation to supervising companies.

Directly after graduating from studies in 1996 she was employed in the Ministry of Privatisation.

Since 2001 she was a supervisory board member in the following state-owned companies:  ENEA S.A. (chairman), Kompania Węglowa S.A. (chairman), RADIO GDAŃSK S.A. in Gdańsk (vice-chairman), Zespół Elektrowni Wodnych Niedzica S.A., PERN S.A., Lurgi Bipronaft S.A., Wydawnictwo Poznańskie Sp. z o.o. (vice-chairman).

Currently she is a member of PGE TFI S.A. Supervisory Board.

Mrs Małgorzata Niezgoda submitted a statement that she is not involved in any activity competitive with PKN ORLEN S.A. and is not a partner of any competitive company. Mrs Małgorzata Niezgoda is not a member of any board of a competitive capital company and is not on the list of insolvent debtors kept on record on the National Court Register Act.
