Exceeding the number of available Series C bonds, shortening of the bonds subscription period and change of the date of bonds allocation

PKN ORLEN S.A. (“Company”) hereby informs that the subscription period for the Series C bonds within the bond issue programme directed to the individual investors (“Programme”), included in the prospectus approved by the Polish Financial Supervision Authority on 20 July 2017 has been shortened. The last day of subscription, defined in the final terms and conditions of the offer on 21 May 2018, has been moved for 8 May 2018.

On the first day of the subscription, i.e. 7 May 2018 the number of subscripted Series C bonds was higher than the total number of offered Series C bonds, what caused that on 7 May 2018 the Day of Oversubscription occurred. The Day of Oversubscription has been defined in point 4 of the final terms and conditions of the offer and the final terms and conditions of the issue of Series C bonds published by the Company in the regulatory announcement no 47/2018 as of 25 April 2018.

The subscriptions made in the period from 7 May 2018 (inclusive) to 8 May 2018 (inclusive) will be reduced proportionally. The details of the method of reduction of subscription are specified in the final terms and conditions of the offer of Series C bonds.

Date of Series C bonds allocation has also been changed. PKN ORLEN S.A. will allocate Series C bonds on 10 May 2018.
