PKN ORLEN has become the owner of ca. 80% shares in ENERGA S.A.

PKN ORLEN S.A. (“Company”) hereby informs that on 30 April 2020 the settlement process of all transactions for the purchase of shares of ENERGA S.A. with its registered office in Gdansk (“Shares”) as a result of a completed tender offer to subscribe for the sale of all shares of ENERGA S.A., announced by the Company on 5 December 2019 (“Tender Offer”), has been completed. 
As a result of a Tender Offer, PKN ORLEN S.A. acquired 331 313 082 shares of ENERGA S.A.  representing ca. 80% of the share capital of ENERGA S.A. and corresponding to ca. 85% of the total number of votes at the General Meeting of ENERGA S.A. 
The price amounted to PLN 8,35 per one Share and the total price for the Shares purchased by the Company amounted to ca. PLN 2,77 bn and was covered by PKN ORLEN by cash from own resources and consortium credit line.

Every further decision of PKN ORLEN S.A. relating to ENERGA S.A. shares which remain in free float at the Warsaw Stock Exchange will be published in the regulatory announcements.
