Disclosure of delayed inside information regarding start the process of purchase of 100% of shares in Nowotna Farma Wiatrowa Sp. z o.o.

PKN ORLEN S.A. (“Company”) discloses the following inside information, publication of which was delayed on:

• 16 February 2021:

“PKN ORLEN S.A. (“Company") announces that on 16 February 2021 the Company’s Management Board approved the refundable surcharge to supplementary capital of Orlen Wind 3 limited liability company in organization („Orlen Wind 3”) for the purchase from investment funds: Taiga Inversiones Eolicas SCR SA and Santander Energias Renovables SCRA SA, headquartered in Madrid, Spain, of 100% of shares in Nowotna Farma Wiatrowa Sp. z o.o., owner of the inland wind farms Kobylnica, Subkowy, Nowotna (“Agreement”).

Execution of the surcharge to supplementary capital of Orlen Wind 3 requires the approval of the Company’s Supervisory Board.

PKN ORLEN S.A. holds 100% of the shares in Orlen Wind 3.”
