Ms. Iwona Waksmundzka-Olejniczak and Mr. Robert Perkowski have been appointed to the Management Board of PKN ORLEN S.A.

PKN ORLEN S.A. (“Company”) announces that the Supervisory Board of PKN ORLEN S.A., following its meeting on 27 October 2022 appointed Ms. Iwona Waksmundzka-Olejniczak and Mr. Robert Perkowski to hold the position of the Member of the Company’s Management Board, with the effect from 3 November 2022.

 

Iwona Waksmundzka–Olejniczak

She has many years’ experience in managing large teams and corporate structures, particularly in the energy, oil and gas and banking sectors. She has an in-depth knowledge of capital  markets, corporate governance, large project management, and corporate strategy development and implementation.

 

From April 9th 2022, President of PGNiG S.A. Management Board. She has taken the position against the backdrop of a rapidly worsening crisis in the European gas market. Thanks to the measures that she has taken, PGNiG signed a number of agreements with natural gas providers from the Norwegian Continental Shelf, including long term contract with Equinor for annual purchase of 2,4 bn m3 of natural gas. This ensured the optimal use of capacity of the new gas pipeline Baltic Pipe for deliveries of the gas to Poland in the heating season 2022/2023. The agreements that were signed allowed for the real completion of the natural gas deliveries diversification process and independence of Poland from deliveries from the East. She continued the works over fast fulfillment of the domestic gas storage facilities and LNG deliveries intensification. During her term of office PGNiG started to use the possibility of LNG offtake in terminal in the Lithuanian Klaipeda. There have been also started a number of investments on new gas sources search and development of its exploration from the domestic deposits as well as on development of underground gas storage facilities. Simultaneously she supervised the process of merger between PGNiG and PKN ORLEN that she finalized according to the planned schedule. The process has been realized with respect to all stakeholders and within the complete dialogue with social site, as a result of which PGNiG SA, PKN ORLEN and trade unions in PGNiG signed an agreement confirming the rights of the Company’s employees after the merger with PKN ORLEN.

 

From July 16th 2021 to April 8th 2022 she served as President of the Management Board of ENERGA S.A., an ORLEN Group company. She supervised the entire ENERGA Group and its key investment projects. She coordinated the implementation of the ENERGA Group’s new strategy, with a special focus on energy transition goals and integration with the ORLEN Group. The result of the integration process was the merger of three companies from the ORLEN Group including companies providing support, maintenance and security services. The integration of activities took place in dialogue with ENERGA Group employees, thanks to which it was possible to obtain a full understanding of the business and process objectives for the introduced changes. Earlier, she was Vice President of the Management Board for Corporate Affairs at ENERGA S.A., managing strategic assets and key strategic projects and supervising M&A processes. She was also responsible for the Group’s corporate and ownership supervision and for corporate governance management.

 

She joined PKN ORLEN S.A. in February 2018, first serving as Head of the Investor Relations Office and from February 2019 as Executive Director of Strategy and Investor Relations responsible for the development and implementation of PKN ORLEN’s strategy, decarbonisation strategy, hydrogen strategy and supervision of strategic projects across the Group. At PKN ORLEN, she also supervised the preparation and implementation of equity investment projects and the development and implementation of disclosure and capital market relations policies. She was the author of the first loyalty program for individual investors on the Polish capital market „ORLEN w portfelu”. She also supervised the R&D area and development strategy.

 

From 2016 to 2017, she headed the private banking and then corporate banking departments at Bank Ochrony Środowiska S.A. From 2013 to 2016, she was a brand manager at Plus Bank S.A. responsible for the development and implementation of a marketing strategy and an external communication policy. From 2002 to 2012, she managed the sales network of Invest Bank S.A. and was responsible for managing the product offer and for developing and implementing the bank’s strategy. She supervised the implementation of the bank’s external communication policy and managed key accounts, first as a retail banking manager and a marketing and research manager, and then as a brand manager. In 2001–2002, she was a key account manager at ComputerLand. From 1998 to 2001, she worked at Bank Współpracy Europejskiej and was responsible for key account management.

 

She is a graduate of the Cracow University of Economics (Management and Marketing) and the University of Insurance and Banking in Warsaw (Finance and Banking). She holds an Executive MBA degree from the University of Commerce and Services in Poznań. She completed postgraduate studies in Project Management at the Warsaw School of Economics. She holds a Financial Advisor certification from the European Financial Planning Association. She completed numerous training courses in financial markets and management skills.

 

Robert Perkowski

Manager, local government officer, conducted Ph.D. in Economics at the Institute of Economics of the Polish Academy of Sciences. He is a graduate of the Faculty of Marketing and Management as well as the Faculty of Finance and Banking at the Independent University of Business and Public Administration in Warsaw. He also completed a post-graduate course in Management Analytics at ORGMASZ Institute of Industry Organisation and Management. His research articles concern subjects of enterprises virtualization.

 

From March 18th 2019 he holds the position of the Vice-President of PGNiG Management Board, Operational. Economist with managerial experience obtained from years of working in government institutions and state-owned enterprises. From 2019 to 2020, he held the position of Member of Board of Directors at PGNiG Upstream Norway AS. In 2019 he was the Member of Supervisory Board at INOVA Centrum Innowacji Technicznych Sp. z o.o.. Between 2006 and 2018, he also served as Mayor of City Zabki and in 2017 he was elected as President of the Polish Local Governments Association. Previously, since 2002, he had been working at the Ministry of Justice, where he had handled financial plans for the Prison Service’ salaries and wages. He also provided training services and held other public functions.

 

Mr Perkowski holds other functions such as: Chairman of Supervisory Board at Krajowa Grupa Spożywcza S.A., Member of Supervisory Board at EuRoPol GAZ S.A., Chief Executive Officer at Chamber of the Natural Gas Industry, Chairman of Supervisory Board at Polski Gaz TUW.

 

Ms. Iwona Waksmundzka-Olejniczak and Mr. Robert Perkowski submitted statements that upon taking up the positions in the Management Board of PKN ORLEN S.A. they will not be involved in any activity competitive with PKN ORLEN S.A. and will not be partners of any competitive civil law partnership, partnership, capital company, will not be members of any board of a competitive capital company. They also stated that they are not on the list of insolvent debtors kept on record on the National Court Register Act.
